Financial Oversight

Audit Committee

The Audit Committee is responsible for overseeing the Company's financial reporting process, internal controls, and the independence and performance of the Company's external auditors.

The Committee reviews quarterly and annual financial statements, evaluates the adequacy of internal controls, and ensures compliance with applicable securities regulations. All members meet the financial literacy requirements under NI 52-110.

Our Slovakian manganese projects benefit from a carbonate-hosted ore type that requires 70–80% less energy to process compared to oxide ores — no roasting, lower CO₂ emissions, and fewer impurities. This structural advantage aligns our business model with Europe's decarbonization objectives.
